These Terms of Service (“Terms”) govern your access to and use of the Simple Money application and website (collectively, the “Service”), operated by Simple Money, Inc. (“we,” “us,” or “our”), located at 131 Continental Dr, Suite 305, Newark, DE 19713 US.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

2. Account Registration

• Connecting and viewing financial accounts via Plaid
• Displaying account balances, transactions, and holdings in a unified dashboard
• Generating personalized financial insights and recommendations using artificial intelligence
• Financial modelling and net worth projections
• One-on-one financial coaching sessions

4. Not Financial Advice

Simple Money is not a registered investment advisor, broker-dealer, financial planner, certified public accountant, or licensed attorney. All content, recommendations, projections, and insights provided through the Service are for informational and educational purposes only and do not constitute financial, investment, tax, or legal advice.

You should consult qualified, licensed professionals before making any financial decisions. We are not responsible for any financial decisions you make based on information provided through the Service.

5. Third-Party Services

The Service integrates with third-party providers, including Plaid for financial account connectivity. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

By connecting a financial account through Plaid, you authorize Plaid to access your financial data on your behalf in accordance with Plaid’s End User Privacy Policy.

6. AI-Generated Content

The Service uses artificial intelligence to generate financial insights and recommendations. AI-generated content may contain inaccuracies or errors. You acknowledge that:

• AI-generated recommendations are not a substitute for professional financial advice
• You are solely responsible for evaluating and acting on any information provided by the Service
• We do not guarantee the accuracy, completeness, or suitability of any AI-generated content

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to the Service, other user accounts, or our systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools (bots, scrapers, crawlers) to access or extract data from the Service without our prior written consent
• Interfere with or disrupt the integrity or performance of the Service
• Misrepresent your identity or provide false information in connection with the Service

8. Intellectual Property

All content, features, and functionality of the Service — including text, graphics, logos, and software — are owned by Simple Money, Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial financial planning purposes.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any information provided through the Service is accurate or complete. Financial data displayed through the Service is sourced from third-party providers and may not reflect real-time account balances or activity.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIMPLE MONEY, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Simple Money, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us at vb@thesimplemoney.com.

Upon termination, your right to use the Service will immediately cease. Sections 4, 8, 9, 10, 11, 13, and 14 shall survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware. You consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. The “Last Updated” date at the top reflects the most recent revision.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Simple Money, Inc. regarding the Service and supersede all prior agreements and understandings.
